New Requirements for State Registration of Legal Entities Have Entered into Force
On May 1, 2023, the Order of the Ministry of Justice dated March 29, 2023 No. 1158/5 “On Amendments to Certain Regulatory Acts of the Ministry of Justice of Ukraine” entered into force.
The Order approves new application forms in the field of state registration of legal entities, individual entrepreneurs, and public organizations. The following applications received new editions:
1) Application for state registration of an individual entrepreneur (form 1);
2) Application for state registration of a legal entity (except public organizations and authorities) (form 2);
3) Application for state registration of a legal entity – authority (form 3);
4) Application for state registration of a legal entity – public formation (form 4);
5) Application for state registration of a separate subdivision of a legal entity (form 5);
6) Application for state registration of a public formation without the status of a legal entity (form 6);
7) Application for state registration of symbols of a public formation (form 7);
8) Application for state registration of the all-Ukrainian status of a public formation (form 8);
9) Application for state registration of a change of legal entity participant, requirements for notarization/certificate (form 9).
Changes have also been made to the Requirements for Writing the Name of a Legal Entity, Its Separate Subdivision, Public Formation that Does Not Have a Status of a Legal Entity, except for a Trade Union Organization (approved by the Order of the Ministry of Justice dated March 5, 2012 No. 368/5):
a) to write the name of a legal entity, the following are used:
1) letters of the Ukrainian alphabet – when writing the name in the Ukrainian language;
2) letters of the Latin alphabet – when writing the name in a foreign language;
b) the name of a separate unit instead of the words “separate unit” (“branch”, “representative office”) should contain only the word “branch” or “representative office”.
Finally, changes have been made to the Procedure for State Registration of Legal Entities, Individual Entrepreneurs and Public Organizations that Do Not Have a Status of a Legal Entity (approved by THE Order of the Ministry of Justice dated February 9, 2016 No. 359/5), namely to the third paragraph of Clause 1 of Chapter IV “Peculiarities of State Registration for Applications in Electronic Form”:
when submitting an application in electronic form, if in accordance with the law, for state registration the submission of a copy of a document certifying identity and confirming the citizenship of a person who is the ultimate beneficial owner of a legal entity is required, electronic copies of such documents prepared by scan with an overlay of the applicant’s qualified electronic signature are submitted.
